Seamless North America, LLC Terms and Conditions
Seamless North America, LLC (“Seamless” or “we”) may, from time to time, offer potential or existing users the opportunity to earn rewards by referring friends to try Seamless’ service (“Seamless Referral Program”). We reserve the right to terminate or modify this program at any time and for any reason. Participation in the Seamless Referral Program may require users to submit personal information about themselves and their friends, such as name and e-mail address. By participating in the Seamless Referral Program, users agree to receive communications from Seamless, and/or from our partners that operate and maintain the Seamless Referral Program, with regards to participation in the Seamless Referral Program. The following guidelines shall apply to a user’s participation in any Seamless Referral Program:
As a participant in the Seamless Referral Program, you agree to use the Seamless Referral Program to promote Seamless in the manner specified by these Terms and Conditions, thereby acting as the referrer ("Referrer"). If you do not agree to the terms and conditions contained within this Agreement in their entirety, you are not authorized to register as a Referrer or to participate in the Seamless Referral Program in any manner.
Users may not participate in the Seamless Referral Program where doing so would be prohibited by any applicable law or regulations.
Users must be 18 years old or older and must be US residents in order to participate in the Seamless Referral program.
A unique referral link or personal URL (“Personal Link”) will be issued only to individuals. An individual must be registered with the Seamless Referral Program to be issued a Personal Link, but the individual does not have to have made a purchase from Seamless.
Credit for referrals can only be given to the Referrer for those people referred who participate using the Referrer’s Personal Link.
Seamless reserves the right to modify or amend at any time these guidelines and the methods through which rewards are earned. We reserve the right to disqualify a user at any time from participation in the Seamless Referral Program if they do not comply with any of these guidelines or we believe they are not participating in the program with integrity and in good faith. All information collected from a user in the Seamless Referral Program shall be subject to the Extole Privacy Policy which can be found at http://extole.com/privacy-policy/.
Earning Rewards
Referrer shall receive a reward comprised of a $5 Seamless discount code for every friend referred who creates a qualifying new Seamless member account, as defined below. This $5 discount is only valid on an order of $15 or more. The discount is limited to one use per customer and Referrer may earn up to a maximum of 10 Rewards over the lifetime of this Program.
Each referred friend will be eligible for a unique $5 trial offer discount. This $5 discount is only valid on a new user's first order of $15 or more. The discount is limited to one use per customer and the offer expires on the date shown on offer page.
A qualifying new Seamless member account must meet the following criteria:
- The account belongs to a referred customer who was not previously a Seamless member and had never placed an order in the past.
- Seamless is able to verify that the email address used to create the new account represents a valid email address as determined by Seamless in its sole discretion.
- The referred customer to whom the account belongs is an individual other than the Referrer.
- The referred customer to whom the account belongs completes the purchase immediately after clicking on the Personal Link distributed by the Referrer. If the referred customer purchases using any other link or method, the referred customer will not be deemed to be a qualifying new Seamless member account and the Referrer will not earn credit
$100 Bonus Reward
Between May 1st, 2012 and May 28th, 2012, Seamless will be adding an additional feature to the Seamless Referral Program where the top 10 sharers or “Referrers” are eligible to receive a $100 Bonus in the form of a $100 Seamless gift card that may be used in the future in accordance with the terms of such gift card. This bonus reward program is subject to change by Seamless at any time.
The top 10 sharers or “Referrers” are those Seamless members that refer the most qualified referrals between 5/1/12 and 5/28/2012 in the Seamless Referral Program. Referrers may earn up to a maximum of 10 rewards over the lifetime of this Program. Determining the top 10 referrers shall be in the sole discretion of Seamless. We reserve the right to disqualify a Seamless member at any time from participation in the Seamless Referral Program if they do not comply with any of these terms set forth herein or if their participation in the Seamless Referral Program otherwise could affect the integrity of the Seamless Referral Program, including the bonus award.
Top 10 referrers will be notified of their bonus via the email address that they used to refer, within 4-6 weeks of the campaign end date. Seamless is not responsible for e-mail or other communication problems of any kind. If a top 10 sharer does not respond within two (2) days of the first notification attempt (or such shorter time as exigencies may require), or if the Bonus Reward or Bonus Reward notification is returned as unclaimed or undeliverable to such potential top 10 sharer, such potential top 10 sharer will forfeit his or her Bonus Reward and an alternate top 10 sharer may be selected.
Bulk Distribution
If a Referrer provides a Personal Link to another person by email, the email must be created and distributed in a personal manner that is appropriate and customary for communications with friends and family members. Bulk email distribution, distribution to strangers, or any other promotion of a Personal Link in a manner that would constitute or appear to constitute unsolicited commercial email or "spam" under any applicable law or regulation is expressly prohibited and will be grounds for immediate termination of the Referring Customer's account and deactivation of the Personal Link.
General Terms and Conditions
Seamless’ administration of the Seamless Referral Program and the awarding of any reward thereunder will be conducted by Seamless or a third party administrator, each of whose decisions are final and legally binding. No participant, including any Referrer, shall have the right to contest any decision concerning any aspect of the Seamless Referral Program or the interpretation of the Terms and Conditions. By participating in the Seamless Referral Program, you agree to be bound by these Terms and Conditions. Seamless reserves the right to cancel/terminate, modify or suspend all or any portion of the Seamless Referral Program if in Seamless’ sole determination it believes that the integrity of the Seamless Referral Program has been, or could be, compromised or that the Seamless Referral Program is not capable of running as planned. Seamless reserves the right to disqualify any participant from the Seamless Referral Program if, in Seamless’ sole judgment, participant has not fully complied with these Terms and Conditions. By entering the Seamless Referral Program, a participant explicitly releases, discharges and holds harmless Seamless and its affiliates, their successors, estates and assigns and all their respective shareholders, directors, officers and employees, one and all, from any and all liability, actions, causes of action, damages, actual, incidental or consequential, claims and demands whatsoever in law or equity, including all “costs”, which s/he now has or may acquire, by reason of any personal injury, death, loss of or damage to property, or any reason, occurring during or arising out of his/her participation in the Seamless Referral Program and the acceptance and use or misuse of a reward.
